Toon Packs License Agreement
When you purchase an item from Toon Packs you are in fact purchasing a license to use that item. Different licenses give you different rights of usage. For most instances our Standard License is most appropriate
You acknowledge that you have read this agreement, understand it, and had the opportunity to seek independent legal advice prior to agreeing to it. In consideration of Toon Packs Ltd agreeing to provide the Licensed Material, you agree to be bound by the terms and conditions of this license agreement. You further agree that it is the complete and exclusive statement of the agreement between you and Toon Packs Ltd, which supersedes any proposal or prior agreement, oral or written, and any other communication between you and Toon Packs Ltd relating to the subject of this License.
Standard License
Your use of the Licensed Material, under the Standard License, is subject to the following conditions:
(1) The Licensee has the non-exclusive, non-transferable, non-sublicensable right to reproduce, alter, crop, manipulate, and create derivative works of the Licensed Material an unlimited number of times in any and all media, including entertainment, advertising and promotional materials, television, movies, and video exhibitions, print publications, physical products, electronic publications including web design, and any other uses approved in writing by Toon Packs.
(2) The Licensee must retain the copyright symbol, the name of Toon Packs, and any other information as may be invisibly embedded in the electronic file containing the original Licensed Material. Credit must be given and copyright attributed to Toon Packs on any derivative work created with Licensed Material.
(3) No ownership or copyright in any Licensed Material shall pass to Licensee by the issuance of the license contained in this agreement. Except as contained in this Agreement, Toon Packs grants Licensee no right or license, express or implied, to the Licensed Material.
(5) You may reproduce the Licensed Material in:
(a) a printed format,
(b) in a video production,
(c) a free software application or game,
(d) or display the Licensed Material on a website you are creating.
(6) The Licensee may not sell, license, or distribute any derivative work containing the licensed material in a way that would allow a third party to download, extract, or access the Licensed Material as a standalone file. Also The Licensee may not sublicense, sell, assign, convey or transfer this License Agreement.
(7) The Licensee may not post the Licensed Material online in a downloadable format.
(8) The Standard License is for a single application only. Under no circumstances may the Licensed Material be used by more than one application unless a separate license is purchased for each additional application, before such additional application begins.
(9) The Licensed Material may not be used in a pornographic, defamatory, or otherwise illegal manner, whether directly or in conjunction with other materials.
(10) Any use of Licensed Material in a manner not expressly authorized by this Agreement or in breach of a term of this Agreement constitutes copyright infringement, entitling Toon Packs to exercise all rights and remedies available to it under copyright laws around the world. Licensee shall be responsible for any damages resulting from any such copyright infringement, including any claims by a third party. In addition and without prejudice to Toon Packs other remedies under this Agreement, Toon Packs reserves the right to charge and Licensee agrees to pay a fee equal to ten times Toon Packs normal license fee for use of the Licensed Material.
(11) All sales of Toon Packs products are final. No refunds or credits will be available on any Licensed Material.
(12) It is the Licensee’s responsibility to back up copies of the Licensed Material after download. Toon Packs will not replace any Licensed Material due to loss from hardware or software failure on the Licensee's computer, server, or any other digital storage device. Toon Packs will not regenerate download links after the initial download period is over.
(13) If one or more of the provisions contained in the Agreement is found to be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions shall not be affected. Such provisions shall be revised only to the extent necessary to make them enforceable.
Extended License
Your use of the Licensed Material, under the Extended License, is subject to the following conditions:
(1) The Licensee has the non-exclusive, non-transferable, non-sublicensable right to reproduce, alter, crop, manipulate, and create derivative works of the Licensed Material an unlimited number of times in any and all media, including entertainment, advertising and promotional materials, television, movies, and video exhibitions, print publications, physical products, electronic publications including web design, and any other uses approved in writing by Toon Packs.

(a) a printed format,
(b) in a video production,
(c) a paid software application or game,
(d) display the Licensed Material on a website you are creating,
(e) an electronic document such as a PowerPoint presentation or an ebook,
(f) as part of a physical retail product (10,000 units maximum),
(g) or as part of a print on demand product like; Zazzle, Cafepress etc.
(6) The Licensee may not sell, license, or distribute any derivative work containing the licensed material in a way that would allow a third party to download, extract, or access the Licensed Material as a standalone file.
